ShowMyAI Institutional Terms of Service
Effective date: 18 August 2026
These Terms of Service (“Terms”) govern access to and use of the ShowMyAI platform, browser extension, integrations and related services.
The Service is provided by EthosEd Ltd, trading as ShowMyAI (“ShowMyAI”, “we”, “us” or “our”).
Where an organisation, university, college or other institution purchases, subscribes to, pilots or otherwise makes the Service available to its students, staff or other authorised users, that organisation is referred to in these Terms as the “Customer”.
Individuals authorised by the Customer to access the Service are referred to as “Authorised Users”.
These Terms should be read together with any applicable Order Form, Data Processing Agreement, Privacy Policy and other documents expressly incorporated into the agreement between ShowMyAI and the Customer.1. The Service
1.1
ShowMyAI provides technology designed to support transparent, responsible and reflective use of artificial intelligence in education.
The “Service” includes, where made available to the Customer:
the ShowMyAI web application;
the ShowMyAI browser extension (the “Extension”);
reporting and analytics functionality;
integrations with learning management systems, identity providers and other institutional systems;
AI analysis and feedback functionality;
AI capability, skills record or portfolio functionality; and
associated support and related services.
1.2
Depending on the features selected by the Customer, the Service may allow Authorised Users to:
capture records of their interactions with supported third-party AI services using the Extension;
review and edit captured AI interactions before submission;
submit records of AI use to the ShowMyAI platform;
associate AI interactions with assignments, modules, courses or other academic activities;
review, organise and reflect upon their use of AI;
receive analysis, feedback or reports;
build records or portfolios demonstrating AI capability, literacy or skills; and
allow appropriately authorised university staff to review relevant information, reports and usage data.
1.3
ShowMyAI is designed to provide a transparent record of AI use initiated by the user. The Extension is not designed to provide general monitoring of an Authorised User's browsing activity.
1.4
The precise features, number of users, subscription period, fees, implementation arrangements and any institution-specific requirements may be set out in an Order Form, proposal or other written agreement.
1.5
ShowMyAI may improve, update or modify the Service from time to time. We will not intentionally make a material reduction to the core functionality purchased by the Customer during a paid subscription period without reasonable notice.2. Licence and Right to Use the Service
2.1
Subject to these Terms and payment of applicable fees, ShowMyAI grants the Customer and its Authorised Users a limited, non-exclusive, non-transferable right to access and use the Service during the applicable subscription or pilot period for the Customer's internal:
educational;
teaching and learning;
assessment-support;
research;
administrative;
student-support; and
related institutional purposes.
2.2
The Customer may permit its students, staff, faculty, contractors and other individuals reasonably associated with its activities to become Authorised Users where permitted under the relevant subscription.
2.3
The Customer is responsible for determining which individuals should have access to the Service and, where applicable, the level of access available to them.3. Browser Extension
3.1 User-Initiated Capture
The Extension enables an Authorised User to capture information from a supported AI conversation displayed within the active browser tab.
Capture occurs only when initiated by the Authorised User through the Extension.
The Extension is not intended to continuously monitor browsing activity and does not access an Authorised User's general browser history.
3.2 Information Captured
When an Authorised User initiates a capture, the Extension may process information required to create a record of the relevant AI interaction, including:
prompts submitted by the user;
responses generated by the AI service;
page title;
page URL or relevant chat identifier;
the AI tool or service being used; and
timestamps associated with the capture.
The Extension may also process limited technical information necessary to operate, maintain, troubleshoot, secure and improve the Extension, such as:
browser type;
browser version;
Extension version;
device type;
operating system; and
relevant technical or performance information.
3.3 Local Browser Storage
Information captured through the Extension is initially stored within local browser storage on the Authorised User's device.
Before information is submitted to the ShowMyAI Service, the user may review, edit or delete captured information using functionality provided by the Extension.
Locally stored information may also be removed by clearing the relevant browser data or uninstalling the Extension, subject to the functionality of the browser being used.
3.4 Submission to ShowMyAI
Captured AI interaction data is submitted from the Extension to the ShowMyAI Service only following an explicit action by the Authorised User.
Submission to the Service requires appropriate authentication.
Authentication credentials are not stored directly by the Extension, except to the extent inherent in the secure authentication mechanism provided by the relevant browser or identity provider.
3.5 Browser Access and Permissions
The Extension may request browser permissions that are reasonably required to provide its functionality.
ShowMyAI will seek to limit such permissions to those reasonably necessary for the operation, security and support of the Extension.
The Extension does not require access to an Authorised User's general browsing history in order to provide its core capture functionality.
Browsers, extension stores and third-party websites may change their technical requirements from time to time, which may require ShowMyAI to update the Extension or its requested permissions.
3.6 Customer Deployment
Where technically supported, the Customer may make the Extension available to Authorised Users through:
individual installation;
managed browser deployment;
institutional device-management tools; or
another deployment mechanism agreed with ShowMyAI.
The Customer remains responsible for determining whether installation of the Extension is permitted on institutionally managed devices and browsers.
3.7 Supported AI Services
The Extension may operate with supported third-party artificial intelligence services.
Third-party AI platforms are independent services and are not operated or controlled by ShowMyAI.
Changes made by a third-party AI provider to its website, application, API, authentication process or other functionality may temporarily affect operation of the Extension.
ShowMyAI will use reasonable efforts to maintain compatibility with supported AI services but does not warrant permanent compatibility with every third-party AI service, website or browser.
3.8 Third-Party AI Content
Information captured by the Extension from an AI conversation will ordinarily already have been submitted by the Authorised User to the relevant third-party AI provider.
Authorised Users are responsible for ensuring that information submitted to third-party AI services is appropriate for submission to those services and complies with applicable institutional policies.
Users should not submit personal information, confidential information, special category data or other sensitive material to a third-party AI service unless they are authorised to do so and such submission is appropriate for the relevant purpose.
3.9 Extension Updates
ShowMyAI may update the Extension from time to time to:
maintain compatibility with browsers and supported AI services;
improve security;
introduce or improve functionality;
correct errors;
improve accessibility; or
meet legal or regulatory requirements.
Depending on the browser and deployment method used, updates may be installed automatically through the applicable browser-extension distribution mechanism.4. User Accounts and Authentication
4.1
Authorised Users may be required to authenticate through:
the Customer's identity provider;
single sign-on;
a learning management system;
an account managed by ShowMyAI; or
another authentication mechanism approved by ShowMyAI.
4.2
Users must not knowingly:
allow another person to use their account;
circumvent access controls;
attempt to gain unauthorised access to another user's information;
compromise account credentials; or
interfere with the security or operation of the Service.
4.3
The Customer will use reasonable efforts to ensure that Authorised Users use the Service consistently with these Terms and any applicable institutional policies.5. Responsible and Acceptable Use
The Service must not knowingly be used:
for unlawful purposes;
to infringe the intellectual property, confidentiality, privacy or other rights of another person;
to upload malicious code or interfere with the operation or security of the Service;
to attempt to obtain unauthorised access to the Service or underlying infrastructure;
to systematically scrape or extract data from the Service except through functionality or APIs expressly made available by ShowMyAI;
to circumvent technical safeguards;
to submit information to third-party AI systems where the user is not authorised to do so; or
in a manner that materially breaches applicable institutional policies communicated to the relevant user.
Users remain responsible for ensuring that information they submit to third-party AI platforms is appropriate for submission to those services.6. Academic Decisions and AI-Generated Outputs
6.1
ShowMyAI is designed to provide evidence, information and insight about the use of artificial intelligence. It is not intended to make final academic, disciplinary or misconduct decisions on behalf of an institution.
6.2
Any analysis, score, classification, recommendation, indication or other output generated by the Service should be considered alongside appropriate human judgement and the Customer's own academic policies and procedures.
6.3
Unless expressly agreed otherwise, the Customer remains responsible for decisions relating to:
assessment;
marking and grading;
academic integrity;
academic misconduct;
student progression;
disciplinary action; and
any other decision that materially affects an Authorised User.
6.4
AI-generated analysis and outputs may contain errors or limitations and should not be relied upon as the sole basis for a significant academic or administrative decision.7. Customer Data and Ownership
7.1 Customer Data
“Customer Data” means information submitted to, captured by or otherwise processed through the Service by or on behalf of the Customer or its Authorised Users, including:
AI interaction data;
prompts and AI responses;
assignment information;
course or module context;
portfolio or capability information; and
other content supplied through the Service.
7.2 Ownership
As between the Customer and ShowMyAI, the Customer and/or its Authorised Users retain all rights they hold in Customer Data.
ShowMyAI does not acquire ownership of Customer Data merely because it is processed through the Service.
7.3 Right to Process Customer Data
The Customer grants ShowMyAI a limited right to host, copy, transmit, organise, analyse, transform and otherwise process Customer Data to the extent reasonably necessary to:
provide and operate the Service;
deliver Extension functionality;
generate reports and analysis requested or enabled through the Service;
provide support;
maintain security and integrity;
troubleshoot problems;
comply with the Customer's documented instructions; and
perform ShowMyAI's obligations under the agreement.
Where Customer Data constitutes personal data processed by ShowMyAI on behalf of the Customer, such processing will be subject to the applicable Data Processing Agreement.
7.4 Extension Data
AI interaction information captured through the Extension remains Customer Data where it is associated with the Customer or its Authorised Users.
Storage of captured information within an Authorised User's browser does not transfer ownership of that information to ShowMyAI.
Once information is explicitly submitted to the ShowMyAI Service, it may be processed in accordance with these Terms, the applicable Data Processing Agreement and the Customer's configured use of the Service.8. Institutional Reporting and Analytics
8.1
The Service may generate reports, dashboards and analytics concerning use of the ShowMyAI platform, the Extension and supported AI tools.
Depending on the Customer's configuration, agreed functionality and permissions, reporting may include information concerning:
adoption and active usage;
Extension adoption and usage;
frequency of AI interaction capture;
frequency and patterns of AI use;
AI tools or services being used;
types of activities or tasks for which AI is used;
AI use across assignments, modules, subjects, faculties or cohorts;
engagement with AI-use records and reflective activities;
AI capability or literacy indicators;
progression or changes in usage patterns over time;
Service and Extension performance; and
other metrics made available through the Service.
8.2
Reports provided to the Customer may contain individual-level information where this forms part of the agreed functionality and is permitted by:
the Customer's configuration;
the Customer's instructions;
the applicable Data Processing Agreement; and
applicable data-protection law.
8.3
ShowMyAI may produce aggregated reports to assist the Customer in evaluating:
adoption;
engagement;
AI literacy initiatives;
student support;
educational outcomes;
patterns of AI use; and
the effectiveness of the Customer's implementation of the Service.
8.4
The Customer is responsible for determining which members of its staff are authorised to access institution-specific reporting and analytics.9. Anonymised and Aggregated Data
9.1
Subject to applicable law and the Data Processing Agreement, ShowMyAI may generate statistical, aggregated or anonymised information derived from the operation and use of the Service (“Anonymised Data”).
9.2
Before information is treated as Anonymised Data under this section, ShowMyAI will take reasonable measures designed to ensure that the information does not identify, and is not reasonably capable of being used by the intended recipient to identify:
an individual Authorised User; or
the Customer,
unless the Customer has expressly agreed to being identified.
9.3
Subject to the above safeguards, ShowMyAI may use Anonymised Data for purposes including:
understanding how students and educators use artificial intelligence;
measuring adoption and engagement;
identifying trends in AI use;
benchmarking usage and capability across cohorts, subjects, institutions or the wider education sector;
improving and developing the Service;
improving product functionality, methodologies, scoring and analytical approaches;
developing new products and services;
conducting statistical analysis;
supporting educational or academic research;
producing sector insights and benchmarking reports;
demonstrating the impact and effectiveness of the Service;
informing commercial and product strategy; and
preparing research, reports, presentations, publications and other materials.
9.4
ShowMyAI may combine Anonymised Data derived from the Customer with anonymised information derived from other ShowMyAI customers and users to produce broader aggregated datasets, benchmarks and insights.
9.5
ShowMyAI may share, publish, license or otherwise make available Anonymised Data and insights derived from it to third parties, including:
customers;
prospective customers;
education-sector organisations;
researchers;
academic institutions;
partners; and
the public.
Such information will not identify an individual Authorised User or identify the Customer without the Customer's agreement.
9.6
ShowMyAI will not knowingly attempt to re-identify individual Authorised Users from Anonymised Data.
9.7
Data that remains personal data under applicable data-protection legislation will continue to be handled as personal data and will not be treated as Anonymised Data merely because names or other direct identifiers have been removed.10. Service and Product Improvement
10.1
ShowMyAI may use technical, operational and usage information generated through use of the Service to:
operate the Service;
monitor performance;
maintain security;
detect technical issues;
prevent misuse;
analyse use of the Service; and
improve functionality and user experience.
10.2
Where service-improvement activities involve personal data processed on behalf of the Customer, those activities will be undertaken in accordance with applicable data-protection law and the Data Processing Agreement.
10.3
ShowMyAI may use Anonymised Data in accordance with Section 9 to develop and improve its:
products;
services;
algorithms;
analytical methodologies;
benchmarks;
scoring approaches; and
research.
10.4
Unless expressly agreed with the Customer, ShowMyAI will not knowingly make identifiable Customer Data available for the purpose of training a general-purpose third-party artificial intelligence model.
This does not prevent approved third-party AI services from processing information where reasonably required to provide functionality requested through the Service, subject to the applicable contractual and data-protection arrangements.11. Data Protection and Privacy
11.1
Each party will comply with applicable data-protection legislation, including, where applicable:
the UK General Data Protection Regulation;
the Data Protection Act 2018; and
other applicable privacy and data-protection requirements.
11.2
The parties acknowledge that their respective data-protection roles may vary according to the particular processing activity.
Where ShowMyAI processes personal data on the documented instructions of the Customer, the Customer will ordinarily act as controller and ShowMyAI as processor.
Where ShowMyAI independently determines the purposes and means of a separate processing activity, ShowMyAI may act as an independent controller in respect of that activity.
11.3
Where ShowMyAI acts as processor on behalf of the Customer, the parties will enter into or be subject to a Data Processing Agreement containing the provisions required by applicable data-protection legislation.
11.4
If there is any conflict between these Terms and the Data Processing Agreement concerning processing of personal data, the Data Processing Agreement will take precedence in relation to that processing.
11.5
Further information concerning ShowMyAI's handling of personal information is contained in the ShowMyAI Privacy Policy.
11.6
The Customer remains responsible for establishing any lawful basis, notices, institutional policies or other arrangements required for its own processing of personal data through the Service.
ShowMyAI will provide reasonable assistance to the Customer where required under the Data Processing Agreement.12. Local Storage and Similar Technologies
12.1
The Service and Extension may use browser local storage, session storage, session cookies and other technologies reasonably required to:
authenticate users;
maintain a user session;
provide requested Extension functionality;
temporarily retain user-initiated captures;
maintain security; and
operate the Service.
12.2
ShowMyAI does not use advertising or behavioural-tracking cookies as part of the core Service.
12.3
Further information about the use of relevant storage technologies will be provided through the applicable Privacy Policy or other privacy information.13. Security
13.1
ShowMyAI will maintain appropriate technical and organisational measures designed to protect personal data and Customer Data against:
accidental or unlawful destruction;
loss;
alteration;
unauthorised disclosure; and
unauthorised access.
13.2
These measures may include, as appropriate:
encryption of data in transit;
encryption of data at rest where appropriate;
authentication;
access controls;
least-privilege access;
secure cloud infrastructure;
security monitoring;
backup and recovery arrangements; and
appropriate internal confidentiality obligations.
13.3
Additional security information may be provided to the Customer as part of an institutional information-security, procurement or due-diligence review.14. Subprocessors and Third-Party Services
14.1
ShowMyAI may use third-party suppliers and subprocessors where reasonably required to provide, host, secure, support or develop the Service.
14.2
Where a third party processes Customer Personal Data on ShowMyAI's behalf, ShowMyAI will ensure that appropriate contractual protections are in place in accordance with applicable data-protection legislation.
14.3
Details of relevant subprocessors may be made available to institutional customers through ShowMyAI's Data Processing Agreement or subprocessor documentation.
14.4
The Service may interoperate with third-party services selected or used by the Customer or its Authorised Users, including:
learning management systems;
identity providers;
browsers;
productivity platforms; and
AI services.
ShowMyAI is not responsible for the independent operation, availability or terms of third-party services that are not under ShowMyAI's control.
14.5 Third-Party AI Platforms
The Extension may interact with webpages or interfaces operated by third-party AI providers for the limited purpose of providing Extension functionality initiated by the Authorised User.
Use of an AI provider remains subject to the terms, privacy arrangements and institutional policies applicable to that third-party service.
Nothing in these Terms authorises an Authorised User to use a third-party AI service where the Customer has prohibited or restricted that service.
ShowMyAI is not responsible for the independent operation, availability, security, content, output or data-processing practices of a third-party AI provider.15. International Data Transfers
ShowMyAI's primary hosting infrastructure is intended to be located within the European Economic Area.
Where personal data is processed or transferred outside the United Kingdom or European Economic Area in circumstances requiring a lawful transfer mechanism, ShowMyAI will implement appropriate safeguards as required by applicable data-protection legislation.
Further details may be provided in the applicable Data Processing Agreement or subprocessor information.16. Retention and Deletion
16.1
Customer Personal Data will be retained only for as long as reasonably required to:
provide the Service;
meet agreed contractual requirements;
comply with Customer instructions; or
meet applicable legal requirements,
subject to the retention arrangements agreed with the Customer.
16.2
Following termination or expiry of the Service, Customer Personal Data will be returned or deleted in accordance with the applicable Data Processing Agreement, subject to lawful backup and retention requirements.
16.3
This section does not require ShowMyAI to delete Anonymised Data that no longer constitutes personal data and from which neither an individual nor the Customer is reasonably identifiable.
16.4
Information remaining solely within an Authorised User's local browser storage is ordinarily controlled through that user's browser and may be deleted by the user through the Extension, by clearing relevant browser storage or by removing the Extension, as applicable.17. Intellectual Property
17.1
ShowMyAI and its licensors retain all intellectual property rights in the Service, including its:
software;
browser extension;
interfaces;
designs;
methodologies;
documentation;
databases;
analytics;
underlying technology; and
functionality.
17.2
Nothing in these Terms transfers ownership of ShowMyAI intellectual property to the Customer.
17.3
The Customer may provide suggestions, ideas or feedback concerning the Service.
ShowMyAI may use such feedback without restriction or payment, provided that doing so does not disclose Customer Confidential Information or identifiable personal data.18. Confidentiality
18.1
Each party may receive confidential or commercially sensitive information belonging to the other party.
18.2
Each party agrees to:
protect the other party's Confidential Information using reasonable care;
use it only for purposes connected with the agreement; and
disclose it only to personnel, professional advisers and suppliers who reasonably need access and are subject to appropriate confidentiality obligations.
18.3
Confidential Information does not include information that:
is or becomes public other than through breach of the agreement;
was lawfully known to the receiving party before disclosure;
is lawfully obtained from another source without confidentiality restrictions; or
is independently developed without use of the other party's Confidential Information.
18.4
A party may disclose Confidential Information where required by law, regulation, court order or a competent public authority.19. Availability, Compatibility, Support and Maintenance
19.1
ShowMyAI will use reasonable efforts to maintain the availability and performance of the Service.
19.2
The Service may occasionally be unavailable due to:
planned maintenance;
emergency maintenance;
security requirements;
infrastructure failures;
third-party outages; or
circumstances outside ShowMyAI's reasonable control.
19.3
ShowMyAI will use reasonable efforts to maintain compatibility between the Extension and browsers and third-party AI services identified by ShowMyAI as supported.
Because the Extension operates in conjunction with software and websites controlled by third parties, functionality may occasionally be affected by changes made by those third parties.
Where ShowMyAI becomes aware of a material compatibility issue affecting a supported service, it will use reasonable efforts to investigate and, where reasonably practicable, restore functionality.
19.4
Where a separate Service Level Agreement or support arrangement has been agreed, that document will govern the relevant service levels.20. Accessibility
20.1
ShowMyAI aims to make the Service accessible to the widest practical range of users and to develop the Service in accordance with recognised accessibility standards.
20.2
Current accessibility information and, where available, an Accessibility Conformance Report or VPAT may be provided to the Customer separately.
20.3
Where accessibility improvements are identified, ShowMyAI will use reasonable efforts to incorporate appropriate remediation into its product-development process.21. Fees and Payment
21.1
Fees and payment terms will be set out in the applicable Order Form, proposal or other written agreement.
21.2
Unless otherwise stated, fees are exclusive of VAT and other applicable taxes.
21.3
A pilot or evaluation may be provided on separately agreed commercial terms.22. Term and Renewal
22.1
These Terms apply from the date the Customer first:
accepts an applicable Order Form;
accesses an agreed paid or unpaid institutional pilot;
purchases or subscribes to the Service; or
otherwise agrees to these Terms.
22.2
The subscription or pilot period will be specified in the applicable Order Form or agreement.
22.3
Any renewal arrangements will be set out in the applicable Order Form.
Unless expressly agreed otherwise, entering into these Terms alone does not require the Customer to renew a subscription.23. Suspension
ShowMyAI may temporarily suspend access to all or part of the Service where reasonably necessary:
to protect the security or integrity of the Service;
to respond to a material security threat;
where use of the Service is unlawful;
where an Authorised User materially breaches the acceptable-use provisions of these Terms; or
where undisputed fees remain materially overdue following reasonable notice.
Where practicable, ShowMyAI will provide reasonable notice and work with the Customer to restore access promptly.24. Termination
24.1
Either party may terminate the agreement if the other party commits a material breach and, where the breach can be remedied, fails to remedy it within 30 days after written notice.
24.2
Either party may terminate immediately if the other becomes insolvent or ceases trading, subject to applicable insolvency law.
24.3
Termination does not affect rights or liabilities accrued before termination.
24.4
Provisions that by their nature are intended to survive termination, including those relating to:
confidentiality;
intellectual property;
Anonymised Data;
liability;
accrued payment obligations; and
applicable data-protection obligations,
will continue to apply.25. Warranties
25.1
ShowMyAI warrants that it will provide the Service with reasonable skill and care.
25.2
ShowMyAI does not warrant that:
the Service will be entirely uninterrupted or error-free;
every third-party AI platform or browser will remain permanently compatible with the Extension;
third-party AI systems will always be available;
third-party AI systems will produce accurate results; or
AI-generated or automated analysis will be suitable as the sole basis for an academic or administrative decision.
25.3
Nothing in these Terms excludes warranties or obligations that cannot lawfully be excluded.26. Liability
26.1
Nothing in these Terms excludes or limits either party's liability where it would be unlawful to do so, including liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot lawfully be excluded.
26.2
Subject to Section 26.1, neither party will be liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or anticipated savings, except where such loss forms part of a third-party claim for which liability is otherwise established.
26.3
Subject to Section 26.1, each party's total aggregate liability arising out of or in connection with the agreement during any 12-month period will not exceed the total fees paid or payable by the Customer to ShowMyAI during that 12-month period, unless a different liability cap is expressly agreed in the applicable Order Form.
26.4
The parties may agree different or additional liability provisions in an Order Form where required by an institution's procurement process.27. Changes to these Terms
27.1
ShowMyAI may update these Terms from time to time to reflect changes to:
the Service;
applicable law or regulation;
security requirements; or
our operating practices.
27.2
For an existing paid institutional subscription, changes that materially reduce the Customer's contractual rights will not take effect during the then-current subscription period without the Customer's agreement, except where required by law or reasonably necessary to address an urgent security or regulatory issue.28. Publicity
28.1
Neither party may use the other party's name, logo or trademarks in public marketing materials in a manner suggesting endorsement without prior permission.
28.2
ShowMyAI may identify the Customer as a ShowMyAI customer only where this has been agreed with the Customer.
28.3
Nothing in this section prevents ShowMyAI from using, analysing or publishing Anonymised Data in accordance with Section 9, provided that the Customer is not identified without its agreement.29. Research and Publications
29.1
ShowMyAI may use Anonymised Data to undertake or support research into matters including:
artificial intelligence in education;
AI literacy and capability;
patterns of student AI use;
teaching and learning;
assessment;
employability and future skills; and
related educational matters.
29.2
ShowMyAI may publish or contribute to research, reports and sector analyses based upon Anonymised Data.
29.3
No publication under this section will identify an individual Authorised User.
The Customer will not be identified as the source of data without its prior agreement.30. Assignment
Neither party may assign the agreement without the other party's prior written consent, such consent not to be unreasonably withheld or delayed.
ShowMyAI may assign the agreement as part of a bona fide merger, corporate reorganisation, financing or sale of substantially all of the relevant business or assets, provided that the assignee assumes ShowMyAI's material obligations under the agreement.31. Force Majeure
Neither party will be liable for delay or failure to perform an obligation caused by circumstances beyond its reasonable control, provided it takes reasonable steps to mitigate the effect of those circumstances.
This section does not excuse the Customer's obligation to pay fees already due for Services provided.32. Entire Agreement and Order of Precedence
32.1
The agreement between the parties may consist of:
an Order Form or written commercial agreement;
a Data Processing Agreement;
these Terms;
the Privacy Policy; and
other policies or documents expressly incorporated by reference.
32.2
If documents conflict:
the Data Processing Agreement takes precedence in relation to the processing and protection of personal data;
the Order Form takes precedence in relation to pricing, subscription scope, term and expressly agreed commercial variations; and
these Terms apply in all other respects.33. No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between ShowMyAI and the Customer.34. Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to the agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of it.35. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid and enforceable.
If such modification is not possible, the relevant provision will be deleted without affecting the validity of the remaining provisions.36. Waiver
A failure or delay by either party in exercising a contractual right does not waive that right.37. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes arising from or relating to the agreement unless the parties expressly agree otherwise in writing.38. Contact and Notices

These End User Conditions apply to individual Authorised Users accessing the Service through a Customer.
By accessing the ShowMyAI Service or installing or using the Extension through an organisation that has made ShowMyAI available to you, you agree to:
use the Service and Extension lawfully and responsibly;
keep your account secure;
initiate captures only where you are authorised to capture the relevant AI interaction;
only submit information that you are authorised to submit;
review captured information where appropriate before submitting it;
comply with your institution's policies concerning AI use, privacy, confidentiality and academic conduct;
respect the intellectual property and privacy rights of others;
not attempt to use the Extension to access information outside the AI interaction or functionality made available to you;
not attempt to interfere with or circumvent the security of the Service or Extension; and
understand that ShowMyAI provides evidence, analysis and support relating to AI use but does not itself make final academic or disciplinary decisions.
Your institution may have additional policies governing:
browser extensions;
use of artificial intelligence;
assessment;
academic integrity;
privacy and confidentiality; and
use of institutional technology.
